SEBI directs depositories to build ISIN-level freeze mechanism for promoter holdings in buybacks, live by 1 August. Following its 1 July amendment to the SEBI (Buy-back of Securities) Regulations, 2018, SEBI has told depositories to have the operational framework and system changes ready by 1 August to freeze promoter and promoter-group (including associates') holdings at the ISIN level from board/shareholder approval of a buyback until the offer closes — intended to stop promoter share movements during the buyback window. Depositories must issue operating guidelines and a standard instruction format for listed companies; promoters can still tender into tender-offer buybacks, and pre-existing encumbrances may be invoked or released with the freeze following the shares. This was first reported two days ago and had not appeared in prior editions of this wrap; SEBI's own circular was not locatable in the public circulars index at time of writing. Business Standard
